Neighborhood Intelligence Targets Value From Blockchain Assets

Neighborhood Intelligence Inc. has launched a strategic review of its investments in tZERO, GrainChain and Medici Ventures, saying the assets may be significantly undervalued within the company as their businesses and market opportunities have expanded.

The announcement coincides with the company beginning to trade under the Neighborhood Intelligence name on Nasdaq with the ticker NXH. The company, formerly known as Bed Bath & Beyond Inc., is positioning itself as a data and technology business focused on reducing the cost and complexity of homeownership.

The board has authorized an immediate process to evaluate strategic alternatives for its blockchain-related investments, including potential transactions, partnerships, monetizations, public-market structures and other arrangements designed to give shareholders greater access to their underlying value.

The company said it has already received interest from parties that recognize strategic value in the assets. It is establishing a special committee composed of independent directors and plans to work with an investment banking firm to identify, assess and execute the most attractive alternatives.

tZERO Represents Major Blockchain Investment

tZERO is the largest strategic blockchain investment within Neighborhood Intelligence’s portfolio. Based on the company’s current fully diluted capitalization information, Neighborhood Intelligence directly holds about 22.6% of tZERO on a fully diluted, as-converted basis.

Medici Ventures, meanwhile, holds an additional stake of approximately 16.1%. On a gross look-through basis, and before accounting for the economic arrangements governing the Medici partnership, Neighborhood Intelligence said its direct ownership and economic exposure through Medici amount to about 38.7% of tZERO.

The company also holds approximately 99% of the limited-partner economics of Medici Ventures. That position gives Neighborhood Intelligence economic exposure to Medici’s wider investment portfolio, although Pelion Venture Partners retains contractual rights and economics associated with managing the venture.

The company said different assets could ultimately follow different paths depending on which structure offers the greatest potential value. Possible approaches include strategic investments, partnerships, asset contributions, monetization transactions, public-market deals, alternative ownership structures and shareholder distributions.

Focus Remains on Real-World Assets and Digital Markets

Neighborhood Intelligence said the strategic review does not represent a change in its broader strategy. The company continues to see opportunities where real estate, title infrastructure, tokenization, digital ownership and transaction technology intersect.

It argued that real estate transactions depend on establishing, transferring and recording ownership, creating opportunities to modernize traditional processes through emerging technologies. Blockchain and tokenization could potentially influence how real-world assets are financed, recorded, transferred and made more liquid.

Neighborhood Intelligence said tZERO and other portfolio capabilities could become increasingly relevant as real-world assets move toward regulated digital markets and new forms of ownership and transaction infrastructure.

The company also said a different ownership structure could allow individual assets to receive greater market visibility and potentially more appropriate valuations while preserving Neighborhood Intelligence’s economic participation.

Strategic Alternatives Could Expand Shareholder Access

Management believes unlocking an investment does not necessarily mean abandoning its relationship with the underlying business. A strategic combination, contribution to another public company, or alternative corporate structure could potentially establish separate market visibility while allowing Neighborhood Intelligence to retain economic exposure and strategic relationships.

The company also highlighted the possibility that combining complementary businesses and technologies could produce greater value than maintaining them separately.

Any transaction involving assets held through Medici Ventures would need to account for Pelion Venture Partners’ contractual rights and economic interests, according to the company.

Review Process Is Already Underway

Neighborhood Intelligence said it is engaging with companies in its investment portfolio while evaluating proposals and responding to interest from potential counterparties. The newly formed independent committee and financial adviser will review opportunities already presented to the company and seek additional alternatives.

The company expects the strategic review to produce actionable choices in the near term as it seeks to unlock value from assets it believes have become more mature and strategically important.

The review comes as Neighborhood Intelligence begins operating under its new corporate identity, combining home-related businesses with a technology platform that uses proprietary data, artificial intelligence, blockchain, tokenization and financial infrastructure.

The company said its broader objective remains to simplify homeownership and make it more affordable, while the strategic investment review is intended to improve how shareholders participate in the value of its digital-asset and blockchain holdings.
