By completing the transaction without taking on long-term debt, the company aims to enhance scale while preserving balance sheet flexibility.

The company has indicated that the acquisition will add institutional-grade infrastructure and deepen its role as a connector between established capital markets and emerging decentralized technologies.

As part of the transaction, Intellistake is set to gain access to significant institutional-scale resources. The acquisition is expected to bring more than US$90 million in managed digital assets under its umbrella, along with a token portfolio reported to carry a valuation of approximately US$250 million. In addition, the deal includes a Swiss-licensed treasury and custody platform, which is anticipated to strengthen Intellistake’s operational credibility with institutional investors.

Singularity Venture Hub founder Mario Casiraghi is expected to join Intellistake’s board of directors and assume the role of president. Casiraghi currently serves as Group Chief Financial Officer of the SingularityNET Foundation and brings experience from structured transactions totaling more than US$80 billion over his career.
