Argentina Deregulation Bill Advances Digital Assets and Tokenization

Draft Proposal Seeks to Modernize Financial Markets

Argentina is preparing for a potential transformation of its financial markets through a proposed Deregulation Bill that places digital assets, tokenization, and decentralized technologies at the core of the country’s financial modernization strategy. The preliminary draft, prepared by Deregulation Minister Federico Sturzenegger, outlines a series of reforms intended to integrate blockchain-based financial instruments into the national regulatory framework and expand investment opportunities.

Although the proposal remains in draft form and could undergo revisions before reaching Congress, it signals the government’s intention to align Argentina’s financial regulations with emerging digital finance trends while supporting innovation across capital markets.

One of the proposal’s most significant measures would allow investment funds to allocate capital to digital assets, provided such investments comply with each fund’s stated investment policy and receive approval under regulations established by the National Securities Commission (CNV). Industry observers believe this change could unlock demand worth billions of dollars for eligible digital assets by enabling institutional participation in the sector.

According to a source familiar with the proposal who spoke to local media, cryptocurrencies have increasingly become recognized as investment assets, making it appropriate to permit regulated investment funds to include them within their portfolios. The source also emphasized that any participation would remain subject to oversight by the CNV and would not grant unrestricted access to every cryptocurrency or allow investment managers to purchase digital assets without regulatory approval.

Tokenization and Blockchain Integration

The draft legislation also proposes a broad framework for the tokenization of negotiable securities. Under the proposal, financial instruments could be issued, transferred, held in custody, and traded using decentralized technologies instead of relying exclusively on conventional market infrastructure.

The legislation would also authorize the tokenization of negotiable securities while recognizing decentralized technologies for issuance, custody, transfers, and trading, a move designed to improve the efficiency, speed, and cost-effectiveness of Argentina’s capital markets. Supporters of the initiative believe blockchain-based processes could streamline settlement procedures, reduce administrative expenses, and create more efficient financial operations for investors and market participants.

Another notable provision addresses the treatment of digital assets as collateral. The proposal would permit cryptocurrencies such as Bitcoin and other qualifying digital assets to secure loans, allowing lenders to accept blockchain-based holdings as backing for credit facilities. Such a framework could broaden financial access for cryptocurrency holders whose wealth is primarily stored in digital assets rather than conventional financial instruments.

Smart Contracts Receive Legal Recognition

The draft bill further extends legal recognition to smart contracts, potentially enabling a wide range of agreements to be executed directly on blockchain networks. Contracts covering property rentals, mortgages, and other legal arrangements could be created and managed through automated digital systems.

The proposal also grants full legal recognition to smart contracts, enabling automated execution of agreements, payments, redemptions, and certain enforcement procedures through blockchain technology without requiring routine judicial intervention. By recognizing these programmable contracts, the government aims to establish a legal foundation for automated financial and commercial transactions while reducing reliance on manual administrative processes.

If enacted, these provisions could reshape how contractual obligations are executed by allowing blockchain-based systems to automatically perform predefined actions once contractual conditions are met.

While the proposal has not yet been formally introduced in Congress, it reflects the administration’s broader strategy of promoting market-oriented reforms and embracing decentralized technologies as part of Argentina’s evolving financial framework. The draft also aligns with earlier policy initiatives introduced under President Javier Milei that seek to modernize the country’s regulatory environment and encourage innovation in financial services. If approved following the legislative process, the bill could position Argentina among the countries pursuing a more comprehensive legal framework for digital assets and blockchain-powered financial markets.
